Anduril Stock and the Anduril IPO: What the Company Says, and What Is Actually on File

Anduril is private, and unlike most private companies it answers the share-buying question itself, in writing, on its investor-relations page. The SEC's database, searched for the name, returns 21 entities — none of them Anduril. This page sets those two records side by side, as of 13 August 2026.

What Anduril is

The company's only self-description retrievable from anduril.com: "Anduril Industries, Inc. is a defense technology company that specializes in advanced autonomous systems."

In a letter published on 13 May 2026, chief executive Brian Schimpf writes, "When we founded Anduril in 2017, defense was not a category that attracted significant venture investment." The letter is signed "Brian Schimpf / Chief Executive Officer / Anduril Industries."

The product areas in the company's site navigation: autonomous maritime systems (Dive-LD, Dive-XL, Copperhead, Seabed Sentry); ground sensing and counter-intrusion systems (Sentry, Pulsar, Wisp, Ghost, Anvil, Roadrunner); autonomous aircraft (Bolt, Altius, Barracuda, Fury); Lattice, a software platform integrating sensors and effectors across domains; and solid rocket motor systems. The same letter states that 2025 revenue more than doubled, to $2.2 billion, and that headcount nearly doubled.

The company's site publishes no headquarters location, founder list or leadership page, so none is stated here.

Can you buy Anduril stock?

The company answers this itself. From Anduril's investor-relations page, retrieved 13 August 2026: "Anduril does not currently offer opportunities for retail investors to invest in the company, nor does it offer equity investments or debt instruments (such as bonds) through third-party brokers or other agents".

That is not an inference from the absence of a listing but the company's published position, on a checkable date. It matches the filing record below: no registration statement, and so no public market in the shares.

Anduril also describes what constrains the stock that exists. Almost all employee stock carries a right of first refusal, it says, so shares "can only be sold if the seller first offers Anduril the opportunity to repurchase the stock, or to assign the sale to a buyer of Anduril's choosing." It says it is aware of firms that "aggressively market unauthorized 'forward' contracts and other forms of purported share liquidity" to its employees, that these remain subject to those restrictions, and that it intends to "vigorously enforce" them.

Anduril's own warning about people selling its shares

The same page carries a warning the company wrote itself: "any offer to invest in Anduril that does not come from or through Anduril is very likely a scam."

It names the marketing language it is warning about — third parties offering "pre-IPO Anduril shares," "Anduril shares," "Anduril stock," or "Anduril equity." Those are close to the phrases someone would search to reach a page like this one.

What is actually on file with the SEC

Checking the regulator directly returns something confusing. A company-name search on EDGAR for "anduril", run on 13 August 2026, returns 21 entities, none of which is Anduril Industries, Inc. All 21 are third-party pooled investment vehicles — SPVs, limited partnerships and series of one limited liability company — formed to hold exposure to Anduril. There is no registration statement and no CIK number for the operating company.

The Form D layer misleads most easily. A full-text search restricted to Form D returns six filings between 2021 and 2025 whose names contain "Anduril Industries", every one filed by a feeder fund. A Form D is a notice of an exempt offering filed by whoever is raising — here, funds raising from their own investors to buy Anduril exposure. They are not Anduril's filings and not evidence of its capital raises; no Form D by Anduril Industries, Inc. itself was found.

Funding, and what the company itself says its valuation is

On 13 May 2026 Anduril published this over its chief executive's signature: "Today, Anduril is announcing our Series H: a $5 billion raise which brings our valuation to $61 billion, led by Thrive Capital and Andreessen Horowitz."

That sentence is unusual in a way worth carrying beyond this company. Private valuations almost always reach readers as reported figures — attributed to people familiar with the matter, then repeated until they read like fact. This one is primary: the company states it, over a named signature, on a date. Whenever a private valuation is quoted, the useful question is which of the two it is.

That matters, because a larger number is in circulation. Reuters reported on 24 July 2026 that Anduril was in talks to raise at a valuation of roughly $100 billion; outlets carrying the figure cite Reuters, and no Anduril announcement of that round was found. As of 13 August 2026 the last round the company itself has confirmed is the May 2026 Series H at $61 billion.

Anduril announced an earlier $1.5 billion raise on 7 August 2024; the valuation attached to it could not be established and is not stated here.

Is there an IPO?

As of 13 August 2026 there is no registration statement on file for Anduril Industries, Inc., the filing a US initial public offering requires. That is the whole of the documentary record.

What exists instead is a statement of intent. On CNBC's Closing Bell: Overtime on 10 June 2025, Palmer Luckey, a founder of the company, said: "We are definitely going to be a publicly traded company. We are running this company to be the shape of a publicly traded company."

That quote is fourteen months old, carried no timeline, and no more recent company statement on an IPO was found. An intention expressed in an interview is not a filing and not a dated plan; this page carries no listing date because none exists.

What exposure exists

WEEX lists an ANDURIL perpetual futures contract, verified live on 13 August 2026. A perpetual futures contract references a price: it conveys no shareholding, no shareholder rights, no allocation in any future offering and no claim on Anduril, and does not convert into stock; trading it is not buying Anduril stock. Where leverage is used, it magnifies losses. Its specification — leverage, funding interval, settlement, regional availability — was not verified for this page and is not stated here.

Separately, secondary marketplaces exist that introduce holders of private stock to prospective buyers, and some reference Anduril. This page names the category and stops: it does not explain how to use one, compare them, or treat any quoted price as a valuation. One venue's address carried Anduril's name, but the page did not confirm a listing when retrieved on 13 August 2026. The reason for stopping is the company's own, quoted above: an offer not from or through Anduril is very likely a scam, and Anduril says it will enforce its transfer restrictions.

Government contracts

The figures below come from Anduril's own announcements, not the awarding agency.

• 8 October 2024 — a $249,978,466 air defense production contract with the US Department of Defense, naming the Roadrunner-M and Pulsar systems, with deliveries stated to run from Q4 2024 through end-2025.
• 18 July 2025 — $99.6 million for a US Army Next Generation Command and Control (NGC2) prototype, awarded by the Program Executive Office Command, Control, Communications, and Network.
• 17 June 2026 — a US Air Force Collaborative Combat Aircraft production contract, in which the company names the FQ-44. The announcement does not state a contract value, and none is stated here.

The awarding department, now named the U.S. Department of War, publishes daily contract announcements; a search of that index returns dated entries mentioning Anduril from February 2025 through May 2026. Those were not retrieved here, so no figure above is government-sourced.
