SEC Requires Investment Firms to Prove the Authenticity of Private Equity Products
The SEC is pressuring investment firms to prove that the products they offer indeed contain the private equity promised to clients. The agency wants registered investment advisors to demonstrate that the SPVs under their supervision actually own or hold exposure to the advertised securities. This verification is not aimed at any specific company but focuses on SPVs, which are structures that pool investor funds to establish holdings in private companies, especially in an environment where AI-related names are receiving heightened attention. Companies mentioned in the materials have previously warned against unauthorized offerings of their stock exposure. OpenAI has noted that some companies are promoting unauthorized opportunities, including through direct equity sales, SPV interests, tokenized rights, and forward contracts. Anthropic has also issued a similar warning, stating that transfers of its stock require board approval and that it does not allow SPVs to acquire its securities. This means that claims of obtaining relevant exposure through SPVs do not guarantee the validity of the underlying exposure. The SEC has advanced a case illustrating this risk, accusing Adit Ventures, CEO Eric Munson, and three associated general partners of defrauding investors regarding pre-IPO equity, including SpaceX and Klarna. This topic also affects the crypto market, although the SEC has stated that transferring assets to a blockchain environment does not change the applicability of federal securities laws.
