Ondo Finance Faces Governance Void, Legal Challenges to Decisions

Ondo Finance, managing $3.8 billion in assets, is embroiled in a legal battle over its governance following the death of its founder Nathan Allman at the end of May. The Delaware court must determine the legitimacy of decisions made by CEO Ian De Bode, who self-appointed himself as a director without the board's consensus, potentially invalidating several months of decisions. The lawsuit, filed by Nathan Allman's mother, argues that Ondo's bylaws require a collegial decision to appoint a CEO. If the court validates this argument, all decisions made since May, including hiring and bonuses, would become void. This power vacuum comes as Ondo markets its USDY and OUSG products to institutional clients, who are wary of the legal uncertainty. The situation is further complicated by the company's recent shift from a public blockchain to a private network. The court must now decide who legally controls Ondo's assets.
